PerkinElmer to Acquire Caliper Life Sciences for Approximately $600 Million

PerkinElmer, Inc., a global leader focused on improving the health and safety of people and the environment, today announced that it has signed a definitive agreement to acquire Caliper Life Sciences, Inc., a Hopkinton, Massachusetts-based leader in imaging and detection solutions for life sciences research, diagnostics and environmental markets, for $10.50 per share, for a total net purchase price of approximately $600 million in cash.

Robert F. Friel, chairman and chief executive officer, PerkinElmer, said, “The acquisition of Caliper Life Sciences brings innovative molecular imaging and detection technologies to our portfolio, complementing our world-leading offerings in life science, diagnostics, environmental and food markets.”

Friel added, “The R&D, application expertise, and intellectual property of the combined organization will provide our customers with enhanced knowledge and services and a strong pipeline of innovation. Additionally, the proven leadership and talent of the Caliper team will be a strong addition to our organization.”

The combined technology platforms will expand PerkinElmer’s deep portfolio of solutions and services for global customers.

Piramal Life Sciences Limited (PLSL) is an independent research-driven drug company that was recently demerged from Piramal Healthcare Limited (Formerly known as Nicholas Piramal India Limited). PLSL was formerly the NCE R&D division of NPIL. PLSL has state-of-the-art R&D laboratories built over 200,000 square-feet of space in Mumbai, India and over 300 scientists engaged in drug discovery and development.

Job Description : The candidate will be responsible for design and conduct of pharmacokinetic studies and application of various in vivo/in situ techniques to study clearance mechanisms, tissue distribution and brain permeability etc. He will be involved in pharmacokinetic/toxicokinetic data interpretation, PK/PD analysis, monitoring PK/DM studies at external CROs, compiling reports for IND submissions and supervising and training junior scientists. He will be responsible for designing and conducting in vitro cell permeability and drug metabolism assays and interpreting and reporting data. He will represent DMPK on interdisciplinary drug discovery teams and collaborate with scientists to identify lead/clinical candidates.

Desired Candidate Profile :Cross-functional knowledge of analytical, metabolism, in vitro and in vivo methodologies for DMPK. Skills in experimental design, mathematical problem solving for biological systems, critical data analysis/interpretation and biostatistics are required. Technical skills on western blotting, RTPCR, cloning experiments etc. will be added advantage. Excellent written and oral communication skills, and interpersonal skills are a must. Basic computer skills, including word-processing, graphics and spreadsheet programs required. The candidate should have an ability to interact with multi-disciplinary drug discovery teams.

M.Pharm./M.Sc./Ph.D. with relevant experience
Educational background in biopharmaceutics, pharmaceutical sciences, chemistry, biochemistry or a related field
Have worked in DMPK lab with renowned Pharma and/or CRO

Marijuana genome

Kevin McKernan’s company Medicinal Genomics announced that it has a draft assembly of the marijuana genome, reports Bloomberg. The data is to be posted to the Amazon EC2 cloud. According to Nature’s News blog, the Cannabis sativa genome is estimated to be about 400 million bases, or three times that of Arabidopsis thaliana. McKernan, who was previously at Life Technologies, started Medicinal Genomics “to find ways to maximize the cannabis plant’s therapeutic benefits and minimize its psychoactive effects,” Bloomberg says.

“This is the beginning of a more scientific approach to the genetics of the species,” adds Richard Gibbs from Baylor College of Medicine. “This is not really about marijuana; it’s about pharmacology.”

And, as Nature’s News blog notes, the pot samples were prepared for sequencing at a lab in Amsterdam.

PerkinElmer inks new distribution deal with Roche

PerkinElmer Inc. has entered into a new supply agreement with Switzerland’s Roche for distribution of the NimbleGen CGX microarray workflow the two developed together.

Starting in January of 2012, Waltham-based PerkinElmer will assume responsibility from Roche for sales, service and support of the CGX array workflow for most countries outside of the U.S., according to a release. Roche will still sell the cytogenetic testing system in the U.S. and other select markets. The two companies started working together on a cytogenetics array workflow in 2009.

The NimbleGen CGX array workflow uses microarray technologies developed by Roche with the cytogenetic-focused array design and analysis software from Signature Genomics, which wasacquired by PerkinElmer in May of 2010.

So far this year, PerkinElmer has been on an acquisition tear, acquiring at least four companies since the spring. In June, the company bought London-based Dexela Limited, a provider of X-ray detection technologies and services, for undisclosed terms. In the prior month, PerkinElmer acquired Seattle-based lab cloud computing software firm Geospiza Inc. and Ontario, Canada-based health IT company Labtronics Inc. In March, PerkinElmer announced it bought Durham, N.C.-based Artuslabs and Cambridge-based life sciences software firm CambridgeSoft. In February, the company announced it had acquired Germany-based Chemagen Biopolymer-Technologie AG.
